These terms (version 1.0) govern your purchase and use of Loshelf Pro. Loshelf is operated by Christopher Tweedie (“Loshelf”, “we”, “us”, “our”). By ticking “I agree” and completing your purchase you agree to these terms. If you do not agree, please do not purchase or use Loshelf Pro.
Loshelf Pro is a one-time purchase that unlocks the Pro features of the Loshelf desktop application (the “Software”), including unlimited libraries and files, bulk tagging, and pinning folders and collections to your dashboard. The free version is limited to one library of up to 10,000 files. The Software is licensed to you, not sold. Loshelf is local-first and runs on your own device; it does not require an account to use.
Subject to these terms and your payment, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable license to use Loshelf Pro for your own personal or internal business use, on the devices you own or control. The license lasts until terminated in accordance with these terms.
To purchase, you must be at least 18 years old and able to enter into a legally binding contract. The price is shown at checkout (currently $29 USD) and is a one-time payment with no subscription or recurring charges. Prices are in US dollars; if you pay in another currency, the exchange rate and any conversion fees are set by PayPal or your bank. Payment is processed by PayPal, and your use of PayPal is subject to PayPal’s own terms. You are responsible for any taxes, duties, or charges that apply to your purchase in your country.
When you buy Loshelf Pro we generate a unique license key that is cryptographically linked to your email address. Your email address is the only piece of personal information tied to the key — we do not attach your name, address, or any other identifying details. This link means each key can be traced back to the email address that purchased it. We keep a record of issued keys and the associated purchase so we can support and manage licenses. Because each key is identifiable to the email address that purchased it (see section 4), if we find that a license key has been leaked, published, shared, or otherwise distributed online or to third parties, or is otherwise being used in breach of these terms, we reserve the right to revoke or deactivate that key’s Pro activation, including through a future update to the Software. Revoking a key that has been leaked or misused does not entitle you to a refund.
Your Pro license includes updates to the Software that we choose to make generally available at no extra charge. We do not guarantee that any particular feature will be added, kept, or supported indefinitely, and we may change or discontinue features over time.
Loshelf Pro is digital content supplied as a license key delivered to you immediately. At checkout you expressly consent to the license key being delivered immediately and acknowledge that, once delivery has begun, you lose any right to cancel or withdraw from the purchase.
If you are a consumer in the UK, that is the loss of the 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you are a consumer in the EU/EEA, it is the equivalent loss of the 14-day right of withdrawal for digital content under EU consumer law. Consumers elsewhere consent on the same basis, to the extent permitted by their local law.
Accordingly, all sales are final and non-refundable, except where a refund is required by law.
This does not affect your mandatory statutory rights. In the UK, under the Consumer Rights Act 2015, the license key and Software must be as described, fit for purpose, and of satisfactory quality; consumers in other countries have equivalent rights under their local law. If the Software is faulty or not as described and we cannot resolve the problem, you are entitled to the remedies provided by the applicable law (which may include a repair, replacement, price reduction, or refund). Except for the statutory rights described in section 8, and to the fullest extent permitted by law, the Software and license key are provided on an “as is” and “as available” basis without further warranties of any kind. Nothing in these terms excludes or limits any rights you have under mandatory consumer-protection law.
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. Subject to that, and to the fullest extent permitted by law, we are not liable for any loss of data, profits, or goodwill, or for any indirect or consequential loss, and our total liability to you arising from or connected with your purchase will not exceed the amount you paid for your license.
This license continues until terminated. It terminates automatically if you materially breach these terms (including sections 5 and 6). On termination you must stop using Loshelf Pro and any revoked key.
We may update these terms for future purchases. The version you agreed to at the time of your purchase governs that purchase.
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction — without affecting any mandatory rights you have as a consumer in your country of residence.
If any part of these terms is found to be unenforceable, the rest remains in force. Our failure to enforce a term is not a waiver of it. You may not transfer your license or these terms to anyone else; we may transfer them to a successor to our business. These terms are the entire agreement between us regarding Loshelf Pro.
